1股权赠与中英双语协议AGREEMENTOFSHAREDONATION甲方PartyA乙方PartyB甲乙双方本着平等自愿和诚信的原则经充分协商双方就股权赠与事宜达成如下协议Accordingtotheprinciplesofequalityvoluntarinessandgoodfaithbothpartiesofthiscontractagreedthefollowingissuesrelatingtosharesdonation本协议由甲方与乙方于日在签订ThisagreementshallbesignedbypartyAandpartyBonthedateof赠与标的DonationObject一甲方拥有有限公司以下简称公司股权是该公司的合法股东PartyAhassharesoftheCoLtdhereinafterreferredtoasthecompanyisthecompanyslegitimateshareholder二甲方同意将其拥有的公司1的股权给乙方PartyAagreestodonateitsown1companysharestoPartyB乙方同意接受上述赠与PartyBagreestoaccepttheabovedonation第二条赠与程序DonationProcedure一甲方应当按照本协议提请公司向登记机关办理股权变更登记并将股权变动情况登载于公司的股东名册同时向乙方出具证明书PartyAshallinaccordancewiththisagreementsubmitthecompanytotheregistrationauthorityforregistrationofstockrightchangeandchangethestockrightonthelistofshareholdersofthecompanyandissueacertificatetoPartyB二如此项赠与需征得公司其他股东同意的甲方应负责取得该项同意IfsuchdonationshouldbeapprovedbytheothershareholdersofthecompanyPartyAshallberesponsibleforobtainingtheagreement赠与的撤销RevokationofDonation2一如果乙方有严重损害公司利益或给公司造成损失的情况甲方可以撤销赠与IncaseofPartyBhasseriouslydamagedtheinterestsofthecompanyorcausedlossestothecompanyPartyAmayrevokethedonation二赠与撤销后本协议终止履行Aftertherevocationofthedonationthisagreementterminatesitsperformance承诺和保证PromisesandGuarantees一甲方保证对依据本协议赠与给乙方的股权拥有完全的处分权上述股权未设置任何抵押权或其他担保权PartyAhastherighttodisposeofthesharesthatshoulddonatetoPartyBaccordingtothisagreementandnomortgageorothersecurityrighthasbeensetupintheaforesaidshares二乙方承认原公司章程和股东之间的合同保证按原章程和合同的规定承担股东权利义务和责任PartyBacknowledgesoriginalarticlesofassociationofthecompanyandcontractsbetweentheshareholdersandundertakestherightsobligationsandresponsibilitiesoftheshareholdersinaccordancewiththeoriginalconstitutionandthecontract股权赠与的法律后果LegalConsequencesofsharesdonation一股权赠与完成后乙方即成为公司股东按其股权比例分享公司的利润和分担风险及亏损AfterthedonationofsharesiscompletedPartyBbecomestheshareholderofthecompanyandsharesthecompanysprofitsrisksandlossesinproportiontoitsshareright二公司已经发生的债权债务不受股东变更的影响Thecreditorsrightsandliabilitiesofthecompanyhavenotbeenaffectedbythechangeofshareholders费用的负担ExpenseUndertaking本赠予协议实施所需支付的有关税费双方各负担二分之一Thepartiesshalleachbear12oftheburdenoftaxesandfeesforthedonationagreement违约责任Liabilityforbreachcontract如果本协议任何一方未按本协议的规定适当地全面地履行其义务应该承担违约责任守约一方由此产生的任何责任和损害应由违约一方赔偿3IfanypartytothisagreementdoesnotfullyfulfillitsobligationsinaccordancewiththeprovisionsofthisAgreementitshouldbeartheliabilityforbreachofcontractThedefaultingpartyshouldberesponsibleforcompensationforanyliabilityanddamagesresultingfromthenondefaultingparty法律适用和争议解决GoverningLawsandDisputeSettlements一本协议受中国法律管辖并按其解释ThisagreementisgovernedbyandconstruedinaccordancewiththelawsofChina二凡因本协议引起的任何争议双方应协商解决协商不成任何一方均可向公司所在地法院提起诉讼AnydisputesarisingunderthisAgreementbythetwosidesshouldberesolvedthroughconsultationifconsultationfailsanypartymayfilealawsuitinacourtwherethecompanyislocated第九条其他Others一本协议由双方或其委托代理人签字或盖章后生效ThisAgreementshallbeeffectiveuponsignatureorsealbythepartiesortheiragents二本协议正本一式五份甲乙双方各执一份公司执一份其余由有关政府部门留存Theoriginalagreementismadeinfivecopieswitheachpartiesholdingonecopythecompanyholdingoneandtherelevantgovernmentdepartmentsretainingtherest甲方乙方PartyAPartyB法定代表人授权代表签字盖章法定代表人授权代表签字盖章LegalrepresentativesignandchopLegalRepresentativesignandchop日期日期DateofsigningDateofsigning4
