1CONTRACTOFTECHNICALSUPPORTAGREEMENT技术支持中英双语合同ThisContracthasbeenmadeon19February2013本合同由以下各方于2013年2月19日订立Bythefollowingparties经由以下双方签订1ChinaTransmissionEquipmentCoLtdAlimitedliabilitycompanyorganizedandexistingunderthelawsofPRChinawiththeregisteredbusinessplaceofhereinafterreferredtoasPartyAand甲方中国传动设备股份有限公司一家依照中华人民共和国法律设立和存续的有限责任公司注册办公地以下简称甲方2ProfDrIngPeterTenbergeChairofIndustrialandvehicledrivetechnologyRuhrUniversityBochumBuildingIB1151Universitystreet15044801BochumGermanyhereinafterreferredtoasPartyB乙方滕伯格教授工学博士工业及汽车驾驶技术教研室鲁尔大学波鸿大厦IB1151大学路150号44801波鸿德国以下简称PartyB一ScopeofWork工作范围1PartyBprovidePartyAwiththetechnicalsupportof8SpeedAutomaticTransmissionProject乙方协助甲方开展研发新型8速自动变速箱项目提供技术支持2PartyAwillpayPartyBapriceof14000FourteenThousandsEuroOnlyforhistechnicalsupportof8ATresearchanddevelopment甲方同意支付乙方开展研发新型8速自动变速箱项目提供技术支持的费用总计14000欧元3Thescopeofthistechnicalsupportincludes此技术支持包括以下内容1Deliveryofgeardamageanalysis提供齿轮损伤分析2Deliveryofshaftsandrollerbearings提供轴与滚针轴承3DeliveryofFEMcalculation提供FEM计算数据4Detailoptimizationforstandardconstructionof8AT8AT2标准结构的细节优化二LiabilitiesofPartyB乙方义务1PartyBshallprovidetoPartyAthecompletesetofdocumentsandtechnicaldocumentationstobeusedforthemanufactureof8SpeedAutomaticTransmissionProjectproductsinPartyAsfactorySuchdocumentsandtechnicaldocumentationsshallcorrectlydirectthemanufacture乙方向甲方提供在甲方工厂生产新型8速自动变速箱产品的全部完整工艺文件和资料能正确指导产品的生产2Therelatedtechnicalstandardsof8SpeedAutomaticTransmissionProjectshallbesubmittedbyPartyBatthesametimethetechnicaldocumentationisprovided乙方在提供技术资料的同时还要提供生产新型8速自动变速箱产品全部技术标准3Thetechnicaldocumentationcoveringthemanufactureof8SpeedAutomaticTransmissionProjectshallbecomplete乙方向甲方提供生产新型8速自动变速箱产品产品的全部专有技术资料必须是完整的技术资料三PriceandPayment价款与支付1ThetotalpricehereofisEURO14000fourteenthousandEuroswhichexcludestaxes本合同总价格为14000欧元壹万肆仟欧元不含税2PaymentfromPartyAtoPartyBisduewithin30daysafterthecontractsignatureandshallbepaidinfullamountinEuro甲方在合同签订后的30天内应支付乙方所有款项而且应当按规定货币欧元支付3PaymentMethodTelegraphicTransfer支付方式电汇四Tax税费AnytaxrelatingtotheimplementationofthecontractimposedbyPartyAscountryshallbepaidbyPartyB凡因履行本合同而发生在甲方国家以外的一切税费均由乙方承担五Arbitration仲裁31AnydisputearisingfromtheimplementationofthecontractshallbesettledthroughfriendlyconsultationsIfnosettlementcanbereachedbothpartiesshallagreetosubmitthedisputeforarbitration凡因执行合同所发生的一切争议均由双方通过友好协商的办法解决如果协商仍不能解决则双方同意将争议提交仲裁2ThearbitrationshalltakeplaceintheShenzhenOfficeoftheChinaCouncilforthePromotionofInternationalTradeaccordingtoitsrulesandprocedures仲裁地点在深圳中国国际贸易促进委员会仲裁机关仲裁程序按中国贸促会仲裁机关的程序进行仲裁六Confidentiality保密AlldrawingsdesignsspecificationsandallothertechnicalinformationmadeavailableunderthisContractbyPartyBshallbekeptstrictlyconfidentialbyPartyAwhoshallnotselltransferordivulgeitinanymannertoanyoneexceptthoseofitsownemployeeswhowillbeusingitinthemanufactureoftheProductswithoutpriorwrittenconsentofPartyBPartyAmayhoweversupplysuchtechnicalinformationtoitssubcontractortotheextentnecessaryforsuchsubcontractortomanufacturepartsofContractProductsprovidingthatPartyAshallhavesuchsubcontractoragreedinwritingtoholdsuchtechnicalinformationstrictlyinconfidence乙方根据本合同所提供的一切图纸设计说明书及其他技术资料甲方均须严格保密未得到乙方的书面同意不得以任何方式出售转让或泄露给任何人但不包括甲方为生产合同而使用技术资料的雇员但是甲方可以向分包合同人提供生产合同产品部件所必须的技术资料分包人须书面保证对其所得到产技术资料承担严格的保密义务七ValidityoftheContract合同有效期ValidityoftheContractFromto合同有效期自年月日始至年月日止八Language语言ThiscontractispreparedinEnglishandChineseIfthereisanydiscrepancybetweentheChineseandEnglishversiontheChineseversionshallprevail4本合同用中英文书写如中英文版本有任何差异以中文版为准INWITNESSWHEREOFtheformalauthorizedrepresentativesofthePartiesasundersignedhavesignedthisAgreementinfourcounterpartsPartyAretainingthreecounterpartsandPartyBretainingonecounterpartasofthedateofthelastsignaturesetforthbelow协议书双方的正式授权代表在本协议书中一式四份甲方持有3份乙方持有1份首页出现的日期签署了本协议书特此证明PartyAPartyB甲方乙方Signature签名Signature签名Name姓名Name姓名Title职位Title职位Date日期Date日期
